These Terms of Use govern your access to and use of AsyncSig.com and the AsyncSig screening service.

By submitting a request, uploading startup materials, or otherwise using the AsyncSig service, you agree to these Terms and acknowledge the Privacy Policy.
If you use AsyncSig on behalf of an organization, fund, syndicate, accelerator, company, or other entity, you confirm that you are authorized to act on its behalf.
AsyncSig is an investor-facing early-stage startup screening service.
AsyncSig reviews startup materials and prepares a private AsyncSig Investor Screening Memo to support an investor's first-look decision before deeper diligence.
The Screening Memo may help an investor decide whether a startup deserves:
AsyncSig is designed to support investor judgment. It does not make automated investment decisions, provide a public startup score, or replace an investor's own review process.
AsyncSig does not provide:
A Screening Memo is a first-look decision-support document. It is not a full investment memo and does not replace deeper diligence where deeper diligence is appropriate.
AsyncSig is intended for professional and business-related use.
The primary users are investors and selection-side users with a real startup-screening workflow, including:
You must be at least 18 years old to use AsyncSig.
AsyncSig may approve, decline, or request clarification before activating access to the Free Test or processing a submission.
After approval, an investor may receive a personal AsyncSig investor link.
An investor may:
The investor link is intended for the associated investor workflow.
You must not:
If an investor link appears to be compromised, misused, invalid, or incorrectly shared, AsyncSig may replace, suspend, or deactivate it.
A founder or startup representative may submit startup materials only through an investor link shared by an investor.
Open public founder submissions are not part of the current AsyncSig service.
When submitting materials as a founder or startup representative, you acknowledge that:
Founder-facing feedback is not included unless separately agreed in writing.
An investor may submit startup materials directly through the associated investor link.
The investor may submit materials already received from a startup, provided that the investor is authorized to share those materials for screening.
The Screening Memo is delivered privately to the investor associated with the submission workflow.
The standard submission package may include:
The upload form accepts one PDF pitch deck with a maximum file size of 20 MB.
AsyncSig does not require a complete data room for first-look screening.
By uploading startup materials, you confirm that:
You should redact information that is not necessary for screening, including sensitive customer details, personal identification documents, passwords, financial-account credentials, and unrelated personal data.
Do not upload sensitive personal data unless it is strictly necessary for the screening purpose and you are legally authorized to provide it.
AsyncSig treats submitted startup materials as confidential screening inputs.
AsyncSig uses reasonable administrative and technical measures intended to reduce unauthorized access, disclosure, or misuse.
Startup decks are stored using restricted-access storage. Public links using an "anyone with the link" setting are not used for startup decks.
Access is limited to the operator and explicitly authorized users who need access to deliver the service.
No online service can guarantee absolute security. Submit only the information reasonably necessary for first-look screening.

Each Screening Memo is reviewed by a person before delivery.
A Screening Memo may be delivered to the relevant investor:
AsyncSig does not use public "anyone with the link" access for Screening Memos by default.
A founder does not automatically receive the Screening Memo.
AsyncSig may use AI-assisted tools internally to help organize, review, or draft parts of a Screening Memo.
AI-assisted processing does not replace human review.
AsyncSig does not use solely automated processing to make an investment decision.
The Privacy Policy provides additional information about data processing and service providers.
Qualified investors may request a one-time Free Test.
The standard Free Test includes:
The Free Test is intended to help an investor evaluate whether AsyncSig improves first-look screening.
It is not:
AsyncSig may decline or limit a Free Test request if the request does not fit the intended investor-side screening workflow.
Unless separately agreed in writing, one Free Test is available per qualified investor or investor master record.
After the Free Test, an investor may request:
Memo Pack 5 — a structured first-look process for 5 startup decisions for USD 199.
Memo Pack 5 includes:
Paid credits are linked to the relevant investor workflow.
Unused credits expire after the applicable validity period unless otherwise agreed in writing.
If an investor purchases an additional Memo Pack 5 before existing paid credits expire, the applicable validity period and remaining balance will be confirmed in the payment communication.
Credits are managed manually during the current MVP stage.
A credit is normally used after a Screening Memo is delivered.
Submitting materials does not automatically guarantee that a submission will be accepted for review.
AsyncSig may place a submission on hold, request clarification, or decline the submission where:
If clarification is required, AsyncSig may request a limited number of decision-relevant details before preparing the Screening Memo.
Memo Pack 5 payments are arranged manually.
After a Memo Pack 5 request, AsyncSig may provide:
Any third-party payment provider may process payment information under its own terms and privacy policy.
AsyncSig may record payment status, payment date, amount, refund status, and related administrative information.
Any refund terms applicable to a Memo Pack will be stated in the invoice, payment confirmation, or other payment communication.
Nothing in these Terms limits any right that cannot be excluded under applicable law.
You retain any ownership rights you have in the startup materials you submit.
By submitting materials, you grant AsyncSig a limited, non-exclusive right to:
This permission is limited to the purposes described in these Terms and the Privacy Policy.
AsyncSig retains its rights in:
The relevant investor may use a Screening Memo for internal investment-screening purposes.
The investor may share the Screening Memo internally with colleagues, partners, investment-committee members, or professional advisers who need access for the same screening purpose and who are expected to keep the memo confidential.
Unless separately agreed in writing, you must not:
AsyncSig relies on information submitted by investors, founders, startup representatives, and other sources used in the screening workflow.
AsyncSig does not independently guarantee that submitted information is complete, accurate, lawful, or current.
The investor remains responsible for deciding whether additional verification or deeper diligence is required.
You must not use AsyncSig to:
AsyncSig may suspend access, replace an investor link, decline a submission, or stop providing the service where reasonably necessary to:
Where appropriate, AsyncSig may provide a short explanation or request clarification.
AsyncSig may use third-party services for:
Third-party services may have their own terms and privacy policies.
AsyncSig is not responsible for third-party services that are outside its reasonable control.
Your use of AsyncSig is also subject to the Privacy Policy.

To the maximum extent permitted by applicable law, AsyncSig is provided on an "as is" and "as available" basis.
AsyncSig does not guarantee:
A Screening Memo is one input into an investor's decision process.
To the maximum extent permitted by applicable law, AsyncSig is not liable for indirect, incidental, special, consequential, or similar losses arising from:
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
AsyncSig may update these Terms as the service, workflow, infrastructure, or legal requirements change.
The updated version will be posted on AsyncSig.com with a revised "Last updated" date.
Material changes may be communicated separately where appropriate.
These Terms are governed by the laws of the Republic of Kazakhstan.
Any dispute arising out of or relating to these Terms or the AsyncSig service will be handled by the competent courts of Almaty, Republic of Kazakhstan, unless applicable law requires otherwise.
